Client Agreement Terms
These are the baseline project terms for Nyral Labs clients. The signed agreement, approved quote, invoice, and written change orders control the final terms for each project.

1. Purpose of These Client Terms
These Client Agreement Terms explain the baseline terms Nyral Labs expects to use for website projects, web systems, custom tools, hosting, recurring support, proposals, contracts, and project records.
The signed agreement, accepted quote, invoice or payment step, written change orders, and owner-approved contract record control the final terms for a specific project.
2. Project Scope and Written Approval
The approved scope may include pages, forms, booking flows, ecommerce features, dashboards, portals, automations, integrations, support services, and other written deliverables. Anything not listed in the approved scope is not included by default.
New pages, additional forms, integrations, advanced functionality, rush requests, extra revision rounds, content entry, SEO campaigns, copywriting, automations, or custom features may require a written change order, price adjustment, and timeline adjustment before work continues.
3. Payments, Deposits, and Non-Refundable Terms
One-time website and web system projects require at least 50% upfront before kickoff unless an owner-approved payment schedule says otherwise. Clients may choose to pay more than 50% upfront, including the full project amount, when the quote or invoice supports it. Any remaining project balance is due before launch, release to production, or any approved handoff step.
All project deposits, milestone payments, final payments, recurring service payments, and other accepted payments are non-refundable unless the signed agreement says otherwise because they reserve planning time, production time, support time, and project capacity.
Late, disputed, reversed, or unpaid amounts may pause project work, launch, support, hosting changes, recurring services, payment-provider actions, or the next project step until resolved.
4. Hosting and Annual Renewal
Nyral Labs hosts the websites it builds unless self-hosting is requested during creation and specifically written into the agreement. Hosting starts at $250 per year and final hosting pricing is set by an owner before contract signing.
Hosting pricing may depend on expected traffic, storage, bandwidth, website load, integrations, database needs, maintenance needs, backup requirements, support requirements, and other usage factors. Hosting renews annually and may be renegotiated before each renewal.
If annual hosting is not renewed or paid, website availability, support, backups, updates, or hosting changes may be paused where allowed by the agreement.
5. Self-Hosting and Source Files
Source files, repositories, build files, internal project files, private workflows, reusable components, and internal tools are not transferred by default.
If a client wants to host the site elsewhere or receive a self-hosting handoff, that request must be made during project creation and specifically approved in the signed agreement. Additional cost, technical review, limitations, and support exclusions may apply.
6. Recurring Services
Recurring support, maintenance, hosting, automations, monitoring, content support, SEO support, or other monthly services continue only while the related recurring payment remains active.
Recurring month-to-month services require first and last month upfront unless the signed agreement says otherwise. The last month payment applies to the final month of service and is non-refundable.
7. Client Responsibilities
The client is responsible for timely content, feedback, approvals, business information, brand assets, account access, domain access, media, legal approvals, compliance review, and other materials needed for the project unless the signed agreement assigns those tasks to Nyral Labs.
Client-provided text, images, logos, claims, testimonials, media, documents, data, account credentials, and business information must be accurate, lawful, and owned or properly licensed by the client.
8. Third-Party Platforms and Costs
Domains, hosting providers, registrars, payment processors, email providers, analytics tools, plugins, premium fonts, stock assets, app accounts, software subscriptions, API providers, ecommerce platforms, and other third-party services are separate unless specifically included.
Third-party providers control their own pricing, terms, approvals, uptime, performance, security, data handling, policy changes, and limitations. Nyral Labs is not responsible for third-party outages, denials, changes, fees, or restrictions unless the signed agreement says otherwise.
9. No Guaranteed Business Results
Nyral Labs can provide strong website foundations, clearer structure, better user flows, technical SEO setup, and improved presentation, but does not guarantee search rankings, advertising performance, revenue, traffic, leads, sales, conversion rates, platform approvals, or uninterrupted third-party service availability.
Any audits, recommendations, examples, projections, or strategy comments are planning tools and do not guarantee a specific result.
10. Accessibility, Compliance, and Regulated Content
Nyral Labs may use accessibility-informed and SEO-informed practices, but legal compliance, industry compliance, regulated claims, privacy obligations, accessibility conformance, professional licensing rules, advertising rules, and required disclaimers remain the client’s responsibility unless the signed agreement specifically includes review by qualified professionals.
Nyral Labs may pause or refuse work involving unlawful content, unsafe account access, unclear ownership rights, unpaid balances, unapproved regulated claims, or requests outside the signed agreement.
11. Electronic Records and Signature Evidence
Quotes, proposals, contracts, invoices, payment steps, acknowledgements, email verification records, IP address records, browser or user-agent records, timestamps, audit trails, version hashes, signed PDF hashes, and signed PDFs may be used to show review, consent, acceptance, signing intent, and document integrity.
By signing electronically, the signer confirms authority to sign, acceptance of the displayed terms, consent to electronic records and signatures, and ability to access, save, and download the agreement and signed records.
12. Attorney Review Recommended
These baseline terms are written to make Nyral Labs project expectations clearer, but they are not a substitute for legal advice. Clients and Nyral Labs may seek attorney review when a project has unusual payment terms, regulated-industry concerns, high-risk integrations, custom legal requirements, or special compliance needs.
